Investor group buys ICP Group

An investor group that includes Paarl Equity GmbH and Operando Partners has acquired ICP Group, an electronic payment transactions company. No financial terms were disclosed. Fried Frank advised the buyers.

Fried Frank advised independent PE investor Paarl Equity GmbH, investor Operando Partners GmbH and four other co-investors in the acquisition of an electronic payment transactions company, the ICP Group. Through a number of European based subsidiaries, including ICP Transaction Solutions GmbH, the ICP Group carries out business operations comprising prepaid card and mobile phone payment services, as well as prepaid and collection services for the German Autobahn toll system.

This acquisition is important as it demonstrates our advice to investors in the growing segment of financial technology companies in Germany and continental Europe, which is a highly regulated market. Paarl Equity focuses on investing in medium-sized companies with existing market presence and solid growth potential.

The Fried Frank team was led by Private Equity and M&A-Corporate partner Christian Kleeberg, and included finance partner Steffen Schellschmidt, antitrust partner Tobias Caspary, tax partner Katrin Gaensler, corporate associates Peter Breschendorf, Anjela Keiluweit, Jan Petersen, Philipp Rosak and special counsel Thorsten Stuecklin, and antitrust associate Max Kuettner.
